FX.co ★ Darktrace To Be Bought By Luke Bidco For $7.75/share In Cash

On Friday, private equity firm Thoma Bravo, L.P. declared its plan to acquire Darktrace Plc (DRKTF.PK), a leading cyber security company. The deal, which will cost $7.75 per share in cash, will be effected through its newly-formed company, Luke Bidco Limited, which is wholly owned by funds managed or advised by Thoma Bravo.

The proposed share price is a premium of 44.3 percent over the volume-weighted average price of 429.9 pence per Darktrace share during the three-month period before April 25. This acquisition places Darktrace's worth at approximately $5.315 billion and signifies an enterprise value of about $4.992 billion.

As of April 26, Darktrace confirmed that it has issued 703,683,540 shares of 1 pence each on the London Stock Exchange, along with 3,323,886 treasury shares.
